CONTRACT BETWEEN DUX SOFTWARE AND DON HOPKINS

Here is the contract between DUX and me, which I will be glad to send
you a copy of if you like.

The terms of the contract were successfully met, and there were no
problems with it.

From: Bob Adams, President DUX Software
Subject: Development Agreement, Assignment of Rights, Payment and Royalties

Both parties agree to the following:

1. Don Hopkins is recognized as the developer for SimCity UNIX-HyperNeWS
version.

2. Don has worked on the project as "Work For Hire" and Don assigns all
rights to DUX and MAXIS and recognizes that MAXIS and DUX possess full
copyright status for the SimCity code, the user interface and all notes
and documentation. All intellectual property rights are acknowledged for
Don to be the property of MAXIS and DUX.

3. DUX acknowledges that a balance due exists which will be paid to Don
through royalties he will receive through the sale of SimCity over time.
The formula used to compute his royalty payment is as follows:

5% of all revenues paid to DUX for the sale of SimCity until the balance
of contract is paid.
2.5% of all revenues paid to DUX from the sale of SimCity for ongoing
support of the source code and HyperNeWS.

4. If Don wishes to continue to support te product after it is
completed, the same formula will apply in addition to his logging
programming time at $25. per hour for all new work. Bug fixes will
constitute support of already paid for work and will be covered by
royalty payments.

5. Don agrees to support the product to the best of his ability while
away in Europe via Internet, phone or fax.

6. Don agrees to complete SimCity in a reasonable time frame while away
and help DUX complete documentation by the creation of the text portion
of the documentation and will make recommendations as to appropriate
screen captures and graphics.

7. Any major improvements to the current version beyond the basic game
and current interface will be approved by a product planning group of
which Don is a member.

8. Don agrees to move SimCity to the latest version of HyperNeWS upon is
arrival at Turing.
